Terms of Service

1 Acceptance of Terms

These Terms of Service ("Terms" or "Agreement") govern your access to and use of the Coreza platform, including all associated web-based applications, mobile applications, APIs, software, data, content, and services (collectively, the "Service"), owned and operated by Coreza ("Company," "we," "us," or "our"), a software-as-a-service (SaaS) provider based in the Philippines.

By clicking "I agree," "Create Workspace," or by otherwise accessing or using the Service, you acknowledge and agree that:

• You have read, understood, and accept these Terms;
• You are at least eighteen (18) years of age or the age of majority in your jurisdiction;
• If you are accepting on behalf of an organization, you have the authority to bind that organization to these Terms; and
• Your use of the Service is lawful in your jurisdiction.

These Terms incorporate by reference our Privacy Policy, which also governs your use of the Service and is an integral part of this Agreement.

2 Definitions

As used in these Terms, the following terms shall have the meanings set forth below:

• "Account" means the unique workspace created by a Subscriber upon registration, containing organizational and user data.
• "Authorized User" means any individual granted access to the Service under a Subscriber's Account.
• "Customer Data" means all data, information, files, content, and records submitted to or processed through the Service by Subscriber or its Authorized Users.
• "Service" means the Coreza SaaS platform, including invoicing, inventory management, project management, customer relationship management, billing, and all related modules.
• "Subscription" means the paid or trial access plan under which Subscriber uses the Service.
• "Subscription Fees" means the recurring charges applicable to a paid Subscription plan.
• "Trial Period" means the initial 14-day free evaluation period granted upon account creation.
• "Personal Data" has the meaning ascribed to it under the Philippine Data Privacy Act of 2012 (Republic Act No. 10173).
• "Third-Party Services" means any external applications, integrations, or services connected to Coreza but not operated by Coreza.

3 Eligibility & Account Registration

3.1 Eligibility

The Service is intended for business use by legal entities and individuals of legal age. By registering, you represent and warrant that you are not prohibited by applicable law from using the Service and that your use will not violate any applicable law or regulation.

3.2 Account Registration

To access the Service, you must create an Account by providing accurate, current, and complete information, including a valid email address that must be verified via a One-Time Password (OTP). You are responsible for:

• Maintaining the confidentiality of your login credentials;
• All activities that occur under your Account, including actions of Authorized Users;
• Notifying Coreza immediately at legal@coreza.app of any unauthorized access or security breach; and
• Ensuring all Account information remains accurate and up to date.

3.3 One Account Per Workspace

Each registered workspace (tenant) is associated with a distinct Company entity. Creating multiple Accounts to circumvent plan limitations is prohibited and constitutes a material breach of these Terms.

3.4 Account Security

You are solely responsible for the security of your password and access credentials. Coreza will never ask for your password via email, chat, or phone. All passwords are stored in hashed form and are never accessible to Coreza staff.

4 Subscription Plans & Billing

4.1 Free Trial

All new Accounts are granted a 14-day free Trial Period with access to all core features of the Service. No credit card is required to begin the Trial. Upon expiry of the Trial Period, your Account will be downgraded to the Free plan or suspended unless a paid Subscription is activated.

4.2 Paid Subscriptions

Paid Subscriptions are billed on a recurring basis (monthly or annually, as selected). By activating a paid Subscription, you authorize Coreza to charge your designated payment method for the applicable Subscription Fees on each renewal date. Fees are stated in Philippine Peso (PHP) or such currency as displayed at checkout and are exclusive of applicable taxes unless stated otherwise.

4.3 Taxes

You are responsible for all applicable taxes, including Value-Added Tax (VAT) as required under the National Internal Revenue Code (NIRC) of the Philippines, as amended. Coreza reserves the right to collect and remit applicable taxes as required by law.

4.4 Refunds

All Subscription Fees are non-refundable except where required by applicable Philippine consumer protection law (Republic Act No. 7394, Consumer Act of the Philippines). If you believe a charge is erroneous, you must notify Coreza within thirty (30) days of the billing date.

4.5 Late Payment & Suspension

Failure to pay Subscription Fees when due may result in suspension or termination of your Account. Coreza will provide at least seven (7) days' written notice before suspending a paid Account for non-payment.

4.6 Price Changes

Coreza reserves the right to modify Subscription Fees at any time, with at least thirty (30) days' prior written notice to active Subscribers. Continued use of the Service after the effective date of a price change constitutes acceptance of the new pricing.

5 Acceptable Use

You agree to use the Service only for lawful business purposes and in accordance with these Terms. You shall:

• Use the Service in compliance with all applicable laws and regulations of the Philippines and any other jurisdiction from which you access the Service;
• Not misrepresent your identity, organization, or affiliation in connection with the Service;
• Ensure that all Authorized Users comply with these Terms;
• Maintain accurate and lawful business records within the Service;
• Promptly report any suspected misuse, security vulnerability, or unauthorized access to Coreza; and
• Comply with all applicable data privacy laws when uploading or processing personal data of third parties through the Service, including obligations under Republic Act No. 10173.

6 Prohibited Conduct

You must not, and must not permit any Authorized User to:

1. Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service or any component thereof;
2. Sell, resell, sublicense, rent, lease, or transfer access to the Service to any third party without prior written consent from Coreza;
3. Use the Service to develop a competing product or service;
4. Circumvent, disable, or interfere with any security-related features, authentication systems, rate limits, or access controls;
5. Transmit any malicious code, viruses, worms, Trojan horses, ransomware, or any other harmful software;
6. Conduct automated data scraping, crawling, or mass extraction from the Service without written authorization;
7. Upload, transmit, or store any content that is unlawful, defamatory, obscene, fraudulent, or infringes any third-party intellectual property or privacy rights;
8. Use the Service to process, store, or transmit data in violation of the Philippine Data Privacy Act of 2012 (RA 10173) or the Cybercrime Prevention Act of 2012 (RA 10175);
9. Impersonate Coreza, its employees, agents, or any other person or entity;
10. Engage in any form of fraud, including using the Service to issue fraudulent invoices, misrepresent financial records, or facilitate money laundering in violation of Republic Act No. 9160 (Anti-Money Laundering Act), as amended;
11. Use the Service in a manner that places an unreasonable load on Coreza's infrastructure or that disrupts access by other users; or
12. Access the Service using automated means (bots, scripts, crawlers) in a manner that violates these Terms.

Violations of this section may result in immediate suspension or termination of your Account and may be reported to the appropriate Philippine law enforcement authorities, including the National Privacy Commission (NPC), the Cybercrime Division of the National Bureau of Investigation (NBI), or the Philippine National Police Anti-Cybercrime Group (PNP-ACG).

7 Intellectual Property Rights

7.1 Coreza's Intellectual Property

The Service, including its software, source code, algorithms, user interface designs, graphics, logos, trademarks, service marks, trade names, databases, documentation, and all related materials, are the exclusive intellectual property of Coreza and its licensors, protected under the Philippine Intellectual Property Code (Republic Act No. 8293), as amended, and applicable international copyright, trademark, and trade secret laws.

No rights are granted to you with respect to Coreza's intellectual property except the limited, non-exclusive, non-transferable, revocable license to use the Service during your Subscription period, solely for your internal business purposes as permitted by these Terms.

7.2 Your Customer Data

You retain all rights, title, and interest in and to your Customer Data. By submitting Customer Data to the Service, you grant Coreza a limited, non-exclusive, worldwide, royalty-free license to host, process, reproduce, and display your Customer Data solely as necessary to provide the Service to you and in accordance with these Terms and our Privacy Policy.

7.3 Feedback

If you submit suggestions, feedback, ideas, or recommendations regarding the Service ("Feedback"), you grant Coreza a perpetual, irrevocable, royalty-free license to use, reproduce, modify, and incorporate such Feedback into the Service without obligation or compensation to you.

7.4 Trademark Notice

COREZA and associated logos are trademarks or registered marks of Coreza. You may not use Coreza's trademarks in any manner that implies sponsorship, endorsement, or affiliation with Coreza without prior written permission.

8 User Content & Data

8.1 Your Responsibility

You are solely responsible for all Customer Data you upload, submit, transmit, or generate through the Service. You represent and warrant that your Customer Data does not violate any law, regulation, or third-party right, and that you have all necessary rights, consents, and authorizations to process such data through the Service.

8.2 Data Accuracy

Coreza is not responsible for the accuracy, completeness, or legality of Customer Data. You acknowledge that Coreza provides a platform for you to manage your own business data and that financial and legal decisions made based on data entered into the Service are your sole responsibility.

8.3 Data Backup

While Coreza implements reasonable backup procedures, you are strongly encouraged to maintain independent backups of critical Customer Data. Coreza shall not be liable for loss of data arising from factors outside its reasonable control.

8.4 Data Portability & Export

During an active Subscription, you may export your Customer Data in standard formats (CSV, PDF) as available within the Service. Upon termination of your Account, Coreza will make Customer Data available for export for a period of thirty (30) days, after which it may be securely deleted in accordance with our data retention policies.

9 Confidentiality

Each party ("Receiving Party") agrees to hold in strict confidence all non-public information disclosed by the other party ("Disclosing Party") that is designated as confidential or that should reasonably be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information").

• The Receiving Party shall use Confidential Information solely to perform its obligations or exercise its rights under these Terms;
• The Receiving Party shall not disclose Confidential Information to any third party without the prior written consent of the Disclosing Party, except to its employees, contractors, or advisors who have a legitimate need to know and are bound by confidentiality obligations no less protective than those herein;
• Confidentiality obligations shall survive termination of these Terms for a period of five (5) years; and
• These obligations do not apply to information that: (a) is or becomes publicly known through no fault of the Receiving Party; (b) was rightfully known before receipt; (c) is independently developed without use of Confidential Information; or (d) is required to be disclosed by law or court order, provided that the Receiving Party gives prompt notice to the Disclosing Party to allow it to seek a protective order.

10 Service Availability & Support

10.1 Uptime Commitment

Coreza targets a monthly uptime of 99.9% for the core Service, excluding scheduled maintenance windows and Force Majeure events. Uptime is calculated on a calendar-month basis excluding planned downtime communicated in advance.

10.2 Scheduled Maintenance

Coreza may perform scheduled maintenance that may result in temporary Service unavailability. Coreza will endeavor to provide at least 24 hours' advance notice for planned maintenance windows affecting availability, and will schedule such maintenance during off-peak hours where practicable.

10.3 No Guarantee of Uninterrupted Access

While Coreza strives for high availability, the Service is provided "as is" and Coreza does not guarantee that the Service will be available at all times, uninterrupted, error-free, or free of harmful components. Temporary unavailability does not constitute a breach of these Terms unless caused by Coreza's gross negligence or willful misconduct.

10.4 Support

Technical support is available to Subscribers via email at support@coreza.app. Support response times vary by plan and are not guaranteed unless specified in a separate Service Level Agreement.

11 Third-Party Services & Integrations

The Service may integrate with or link to third-party services, applications, or platforms (e.g., payment processors, email providers, cloud storage). Your use of such Third-Party Services is governed solely by their respective terms of service and privacy policies. Coreza:

• Does not endorse, warrant, or assume responsibility for any Third-Party Services;
• Is not liable for any loss or damage arising from your use of or reliance on Third-Party Services;
• May modify or discontinue integrations at any time with reasonable notice; and
• Is not responsible for any acts or omissions of third-party service providers, including payment processors.

When you enable Third-Party integrations, you may be sharing Customer Data with those providers. You are responsible for understanding the data practices of Third-Party Services you enable.

12 Privacy & Data Protection

Coreza is committed to protecting your personal data in accordance with RA 10173 — the Philippine Data Privacy Act of 2012 — and its Implementing Rules and Regulations. Our collection, use, storage, and disclosure of Personal Data is governed by our Privacy Policy, which is incorporated herein by reference.

As a Subscriber, you acknowledge that:

• You act as a Personal Information Controller (PIC) with respect to your Authorized Users' and customers' personal data processed through the Service;
• Coreza acts as a Personal Information Processor (PIP) on your behalf when processing such data;
• You are responsible for obtaining necessary consents from data subjects whose personal data you upload to the Service; and
• You will implement appropriate organizational and technical measures to protect personal data in compliance with RA 10173.

13 Disclaimers

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

• THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR COMPLETENESS;
• COREZA DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS;
• COREZA DOES NOT PROVIDE LEGAL, FINANCIAL, TAX, OR ACCOUNTING ADVICE. INFORMATION GENERATED BY THE SERVICE (INCLUDING INVOICES, REPORTS, AND FINANCIAL SUMMARIES) SHOULD BE REVIEWED BY QUALIFIED PROFESSIONALS BEFORE RELIANCE; AND
• ANY RELIANCE ON THE SERVICE FOR COMPLIANCE WITH LEGAL OR REGULATORY REQUIREMENTS IS AT YOUR OWN RISK.

Nothing in this section shall exclude or limit liability that cannot be excluded under applicable Philippine law, including liability for death or personal injury caused by Coreza's negligence or fraud.

14 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE PHILIPPINE LAW:

1. IN NO EVENT SHALL COREZA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITIES, EVEN IF COREZA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES;
2. COREZA'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS, YOUR USE OF THE SERVICE, OR ANY RELATED MATTER, WHETHER IN CONTRACT, TORT, STATUTE, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL SUBSCRIPTION FEES PAID BY YOU TO COREZA IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) FIVE THOUSAND PHILIPPINE PESOS (PHP 5,000);
3. THE FOREGOING LIMITATIONS SHALL APPLY EVEN IF ANY REMEDY SET FORTH IN THESE TERMS FAILS OF ITS ESSENTIAL PURPOSE; AND
4. THESE LIMITATIONS REFLECT A FAIR ALLOCATION OF RISK BETWEEN THE PARTIES AND ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND COREZA.

15 Indemnification

You agree to indemnify, defend (at Coreza's option), and hold harmless Coreza and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of or access to the Service in violation of these Terms;
• Your Customer Data, including any claim that your Customer Data infringes or misappropriates any third-party intellectual property right or violates any applicable data privacy law;
• Your violation of any applicable law, regulation, or third-party right;
• Any activity by your Authorized Users under your Account; or
• Any fraudulent, negligent, or intentional misconduct by you or your Authorized Users.

Coreza reserves the right to assume exclusive control of the defense of any matter subject to indemnification, at your expense. You will cooperate fully in such defense.

16 Termination

16.1 Termination by You

You may terminate your Account at any time by contacting Coreza at legal@coreza.app or by using Account cancellation features within the Service, if available. Termination will be effective at the end of your current billing period, and no refunds will be issued for unused portions of a prepaid Subscription.

16.2 Termination or Suspension by Coreza

Coreza may suspend or terminate your Account and access to the Service immediately and without prior notice if:

• You materially breach these Terms and fail to cure such breach within seven (7) days of notice (except for breaches of Sections 6, 7, 12, or 15, which are effective immediately);
• You fail to pay Subscription Fees when due;
• Your use of the Service poses a security risk to Coreza or other users;
• Continued provision of the Service would be unlawful; or
• Coreza decides to discontinue the Service, with at least sixty (60) days' prior written notice where reasonably practicable.

16.3 Effect of Termination

Upon termination: (a) all licenses granted to you immediately terminate; (b) you must cease all use of the Service; (c) your Customer Data will be available for export for thirty (30) days, after which it will be securely deleted; and (d) provisions of these Terms that by their nature survive termination (including Sections 7, 9, 13, 14, 15, and 17) shall remain in full force and effect.

17 Governing Law

These Terms and any dispute arising out of or relating to them, your use of the Service, or the relationship between you and Coreza shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law principles.

Applicable Philippine laws include but are not limited to:

18 Dispute Resolution

18.1 Good Faith Negotiation

In the event of any dispute arising out of or relating to these Terms or the Service, the parties shall first attempt in good faith to resolve such dispute through direct negotiation. Either party may initiate this process by sending written notice to the other party describing the dispute in reasonable detail. The parties shall have thirty (30) days from the date of such notice to resolve the dispute through negotiation.

18.2 Jurisdiction

If the dispute cannot be resolved through negotiation, the parties submit to the exclusive jurisdiction of the appropriate courts of the Republic of the Philippines, in the venue that Coreza designates, without waiving any right to appeal.

18.3 Consumer Rights

Nothing in this Section shall deprive you of any rights you may have as a consumer under the Consumer Act of the Philippines (RA 7394) or any other applicable mandatory consumer protection statute.

18.4 NPC Complaints

Nothing in these Terms prevents you from filing a complaint with the National Privacy Commission (NPC) in connection with any data privacy concern at www.privacy.gov.ph.

19 Amendments to These Terms

Coreza reserves the right to modify these Terms at any time. When material changes are made, Coreza will:

• Provide at least thirty (30) days' prior written notice via email to the registered account email address;
• Post the updated Terms on this page with the revised "Last Revised" date; and
• Require acknowledgment of material changes for continued access, where required by applicable law.

Your continued use of the Service after the effective date of any amendment constitutes your acceptance of the revised Terms. If you do not agree to any amendment, you must cease using the Service and may terminate your Account in accordance with Section 16.1.

For non-material changes (e.g., corrections, clarifications, formatting), Coreza may update the Terms without prior notice but will update the "Last Revised" date.

20 Miscellaneous

20.1 Entire Agreement

These Terms (together with the Privacy Policy and any applicable Subscription order or addendum) constitute the entire agreement between you and Coreza with respect to the Service and supersede all prior and contemporaneous negotiations, representations, warranties, and understandings.

20.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

20.3 Waiver

Coreza's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver of any breach shall not be deemed a waiver of any subsequent breach.

20.4 Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, without Coreza's prior written consent. Coreza may freely assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets, with notice to you.

20.5 Force Majeure

Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, pandemics, government actions, cyberattacks, Internet service disruptions, or power outages. The affected party shall provide prompt notice and use reasonable efforts to resume performance.

20.6 Relationship of Parties

The parties are independent contractors. These Terms do not create any partnership, joint venture, employment, franchise, or agency relationship between you and Coreza.

20.7 Language

These Terms are written in the English language. In case of any conflict between an English version and any translated version, the English version shall prevail.
